3. to increase the transparency and enhance the governance of financial transactions conducted on behalf of the enterprise.

Sources of Expense Management Solutions

Australian and international organizations now have access to a range of quality expense management solutions which are well suited to driving down administration cost whilst meeting corporate compliance requirements. There are essentially three sources of “expense management solutions”:

If you're considering the option of using their ERP for expense management, you need to be conscious of a number of factors, including:

• the deployment time and the cost of the project (which will usually be substantial).

Best-of-breed expense management solutions from specialist providers can be relatively seamlessly interfaced to an organization's internal systems such as HR and ERP, but will not present a common look and feel to the ERP system. You would usually choose a best-of-breed expense management solution if you want:

1. your company to be independent of a particular card issuer;
2. to achieve a fast implementation; and/or
3. to configure the solution to its own unique rules and policies of expense administration.

Best-of-breed expense management solutions are typically deployed as either an ASP (Application Service Provider) or self hosted solution. Although exceptions are common, small to medium enterprises tend to appreciate the lower up-front cost of an ASP expense management solution, and larger enterprises are attracted to the control available through a self-hosted expense management solution. ASP expense management solutions are typically paid for on a per statement per month basis, and self-hosted expense management solutions have a range of options available from up-front license fees to monthly license rentals.

Overcoming the Cultural Resistance to Expense Management Solutions

Some Finance Directors still have an aversion to corporate credit cards. It's not uncommon to hear a finance director say “if I give everyone a card, they'll spend us broke!”

However, the benefits of an Expense Management Solution are apparent as soon as the Finance Director considers the difficulties of controlling the expenditure behavior of thousands of employees using a manual system of reimbursements which is largely based around a set of uncoordinated spreadsheets. Basic activities such as enforcing travel policies, calculating tax implications, reconciling, posting to a chart of accounts at a detailed level and auditing, are so difficult as to be more honored in the breach than the observance...

Viewed from a different perspective, a company with revenues of $700m $50m in EBITDA, and $20m in annual employee business expenses, can make a dramatic impact on its bottom line using an expense management solution without increasing revenue. If automation reduces these expenses by only five per cent in the first year, the savings alone have the same impact on the bottom line as $14m in new revenue. It isn’t surprising that the return on investment of an expense management project is often achieved within its first 12 months of operation.

Expense Management Solutions also play a vital role in Fraud Control. “Fraud” in this context takes many guises, not all of which are the sort that land perpetrators in court. Information taken from our own customer experience and from publications of the USA Association of Certified Fraud Examiners identify the top four categories of fraud:

1. Mischaracterized expenses
2. Overstated (exaggerated) payments
3. Fictitious expenses
4. Multiple reimbursements

Research in the USA has pointed to as much as 1% of company revenues being lost to employee expense mismanagement. Expense Management Systems will not, in their own right, eliminate this but they are a vital tool in creating an environment that drives down the level of mismanagement.

Conclusion

Over the past 18 months, our company has observed a change in motivation for expense management projects. Whereas formerly expense management solutions were an exercise solely in the reduction of administration costs, now governance is equally a driver to implement technology based controls around high volume expenditure. The Sarbannes Oxley (SOX) act in the USA has captured the attention of any enterprise active in the USA. However, inside or outside the USA, the senior executives must warrant that their company has implemented adequate financial controls that prevent fraud and give a true and correct record of the enterprise’s financial activities. An alternative is to choose a company name that is ‘freestanding’. These names are completely abstract and not related to the companies business activities. A fictional example may be to call your catering company Zedoc Limited. There are many popular brand names that illustrate this point. Consider, Kodak, Gillette, or Mars, these names will probably be instantly recognisable to you and conjure up a particular product or business. This is a good way of setting your company aside from the competition but it is important to consider the market that you operate in. Will your prospective clients know what your business is offering?

Choosing a company name may be a simple process, but it is not uncommon for people to deliberate over names for quite some time. Things like how you answer the phone, how you greet shoppers, how cheerfully you correct mistakes or accept returns, how aggressively you negotiate contracts all become bound up in one composite image.

4. Price. How much you cost in comparison to competitors often becomes part of your image. If you're tempted to keep price out of the equation until someone expresses a desire to buy, think twice. When you're candid about pricing, you cut down on the number of "tire-kickers" you need to deal with. Above all, make sure your pricing fits with the other components of your image.

5. Range. Customers should understand the spectrum of products and services that you sell. If you handle only, say, commercial cleaning accounts and not residential, or only, say, bookings of locally based and not nationally prominent speakers, make sure your specialty becomes part of your company image. If it's not part of your company name or company slogan, include your focus in your ads, brochures, sales letters and other promotional pieces.

6. Geographical roots. Where did your company come from? If you're a locally owned family business competing with multinational giants, make sure people know that. If you're selling nationally but rooted in a picturesque corner of the country, make hay out of that. The state of Vermont determined that companies linked to it were able to charge more for their products than companies headquartered elsewhere, and it took steps to make sure outsiders don't try to horn in on its brand equity.

7. Longevity. Moody and Regan, a printing company in Waltham, Massachusetts, wisely and impressively uses as its tag line, "Established 1898." Whenever you've been around much longer than competitors, you can profitably incorporate that into your image.

8. Slogan. Which brand "tastes good like a cigarette should"? Which car is "the ultimate driving machine"? What product are you not supposed to "leave home without it"? Even local or specialized companies can achieve this kind of awareness with their clientele.

9. Benefits. What do buyers get when they purchase from you? Most companies provide intangible, emotional benefits (Volvo cars: safety; Hallmark cards: friendship; Victoria's Secret: sensuality) as well as tangible, practical ones (Burger King: inexpensive, satisfying meal; Boston Pops: a fun night out; Kodak: photos with true-to-life colors).

When both you and those who buy from you know clearly what these benefits are, and when those benefits match the other dimensions listed above, you undoubtedly have a comprehensive, effective company image. Congratulations!

Another problem is people who disregard the value and power of Six Sigma and consequently, they are reluctant to support Six Sigma projects. When you are looking at a company or business purchase, for a buyer the answer will usually be that it will be simpler quicker and more cost effective to buy the assets of a business rather than the shares itself. For the seller it will usually be more tax effective to sell the shares in the business. The reasons for this view are outlined below. In our opinion, selling the business assets rather than the shares (i.e. a business sale) will usually result in quicker more cost-effective deals because the rules on financial assistance do not apply to asset sales (see below) and the buyer can be more selective about which assets (and liabilities) the buyer takes on.

Legal Effect

Where a buyer acquires shares in the Target, the accrued liabilities of the Target remain in those shares, hence extensive warranties and disclosures are sought by the buyer to ensure as far as possible the legal position of the buyer. With asset purchases, the liability of the Target remains in the hands of the seller and the buyer has greater scope to cherry pick which assets she or he wishes to acquire. In practice, a “clean break” from the business is never generally available for the seller, as the buyer will very often want some post completion warranties from the seller, regardless of which structure is used to acquire the business.

Consideration

With company sales (share sales), the purchase monies go into the hands of the individual shareholders. Where an asset sale takes place the sale proceeds go into the hands of the Target. Clearly different tax considerations apply depending on which scenario is adopted.

Title

Where a share sale takes place then all the assets owned by the company remain with the company, and transfer of ownership in the assets is not an issue. Where the deal is structured as an asset sale, the transfer of assets can be more complicated, particularly where third party consents are required (typically for transfers of leases) and where there are employees (due to the complex rules (Transfer of Undertaking Protection of Employment Regulations – “the TUPE rules”) where there is a sale of a going concern. Where delays arise, solutions can be put in place to ensure the ownership of the asset is ultimately transferred to the buyer. The extent to which this is a workable solution will depend on how fundamental the relevant asset is to the business and the extent to which buyer and seller are willing to work together to develop a workable solution.

Employees

If the buyer wishes to carry on the business in succession to the seller, then as a matter of practicality it makes little difference whether a share sale or asset sale takes place. In both cases, the buyer “inherits” the employees and their accrued rights (under the TUPE rules).

If an asset sale is taking place with no intention to carry on the business then this situation would need to be covered by warranties to protect both buyer and seller from potential employee claims.

Tax

Stamp duty

Duty payable on share transfers is currently 0.5%. Duty payable on the transfer of certain assets including freehold or leasehold property can currently go up to 4%.

Capital Gains Tax – Share Sale By Individual Shareholders

The issue to bear in mind here is that the seller receives the consideration directly for her or his shares.

For sellers the biggest tax benefit they have is likely to be the dramatic effect of taper relief. This can reduce capital gains tax liability to under 25% after two years ownership of a “qualifying asset”, the most important of these being certain shareholdings in unquoted companies, and assets owned by an individual and used in the individuals company (provided the shares in that company meet certain restricted ownership requirements).

Corporation Tax – Asset Sale By Company

There are two tax points where the company sells its assets. Firstly the company may suffer a capital gains tax charge when disposing of the relevant asset to the buyer. Secondly the remaining consideration held the company needs to get to the shareholders. If the net proceeds are distributed by winding up the company the shareholders are treated as disposing of their shares for capital gains tax purposes. If the proceeds are distributed as a dividend involves further tax liability both for the company and the individual receiving the dividend.

Financial Assistance

A company may not give direct or indirect financial assistance to a person acquiring the shares in that company. Typically this arises where a buyer wants to acquire the shares in a company and the buyer finances the acquisition by arranging for the company to charge its assets to a bank fund the share purchase. There is a mechanism for allowing a company to give this assistance but it can be costly and time consuming.

The rules on financial assistance do not apply to asset sales.

Up-line support: Back to YOU again, the 2nd most important factor, again won by a landslide. Prospects need to know if YOU will be of any help to them, and will the up-line be any help? So number one is, people join people ... but #2 is pretty much the same. They want to know if they can do it, and their definitely not going to join somebody they don’t like, because then they have to work with them.





Training Provided. Look at this! They aren't even wondering about money yet, we haven’t talked about a company, were still talking about YOU. #3 is about you again. Do you have a conference call we can plug into? Do you have some systems in place to help us be successful? Do you have training? Does the company do training? Are you a good sponsor? Will you help me? A LOT of people aren't sure they can do this. Maybe it's their first exposure to network marketing. But if they know they'll be trained by someone who's good, it raises their belief level. One thing I do with my people, when I work with someone or when I sponsor someone I tell them please, please, listen to this specific tape. Or read this book. And I tell them please do not talk to anybody. I don’t want you to go try to sell your friends & family. Let me work with you, help you get educated on this business. We'll work together to get you successful. So it’s critical that you help that person and give them the training they need. I know some new people get just the opposite. You join and the first thing you hear is, "OK. Let’s go hammer the phones. Make your list today. We'll start calling tomorrow at 5:00PM when you get off work.” I’m saying, "Back up! Don't burn that bridge." If I just joined your business and had no idea what I was talking about, I'd probably say the wrong thing. I'd be excited and leave things out. You’re excited that you joined, but let’s say the right thing, not burn that warm market.





Marketing Plan and Potential Earnings: So were almost halfway through the list. And NOW the prospect is finally wondering, "Can I make some money?" Its not really about can they make some money. Its more, can YOU train me? Can YOU help me make money? And how much money isn't the issue. It’s just, "Can I do this and make some money?" So 1, 2, & 3 were about you. Then we finally get to money. They want to know a little about the compensation plan. Don’t go into great detail, because they probably won't understand much of it, anyway.





Product Line: We finally get to products. Are you paying close attention? Because if you've got a prospect, and you try to tell them the secret ingredients, how the product works or how your long distance service switches work, how deep the cables are buried or whatever your product or service is ...... then you're going at this bass ackwards! People don't care about that stuff. They just want to know, what’s the product? Can I use it? Don't waste time teaching them how many grams of sodium it has. Keep it simple. Let’s recap; first, they need to like the person who did the presentation. So you need to learn a bit about them and identify with them. Next, they want to make sure they can do it. They want to believe. Third, they want to make sure you and the people you work with can train them. Then comes money. Then comes product line. Is that how you had the first 5 on YOUR list? Do you follow this order of importance when you talk to people? What should you remember: People join people, they don't join companies.





Being first in the area: Have you noticed we haven’t even talked about the company yet, but were being first in the area? People don't want to blaze a trail, but the they do want to see there's a large potential to have some growth there.





Company Literature shown. There are a LOT of net workers who focus on the literature. But this isn't a reading business. It's a relationship business. If you don't believe that, take a look at the top 3 on this list again. If you're relying on a sales brochure to sell someone or an audiotape or a videotape, you'd better think again. It’s back to you. If I have a real nice 3D presentation, holograms, smoke and lights, that's great. But if I don't connect with people on a personal level, nothing else matters.





Company Image: Maybe you show a video featuring a 20,000 square foot office & warehouse, on three acres in an exclusive suburb, all the bells & whistles. Big whoop, that’s #8 on their list, barely on the radar. Why bother? They just need to know the company is there, it’s legitimate, not hiding behind some post office box or working out of a storage unit, and will send them a check. That’s basically all they care about at this point. So were almost to the end of what's important to prospects. But I’ve been to a lot of presentations, and "Company Image" tends to be the FIRST thing shown & mentioned. "Hi. My company name is Blah-Blah. They're great. I'm now going to waste 20 minutes of your valuable time & tell you all about them. "A lot of presentations that are done bass-ackwards, from a prospects angle ... which is the ONLY angle that matters.





Is The Sales Kit provided? Now the prospect wants to know that you do have a good video, you do have good literature, and you’ve got tools and services they can use to build their business. So YOU are still the most important thing and the sales kit is almost the least important thing! But how many presentations have you seen where first they talk about the company, and then they show the sales kit? Prospects don’t care. They need to know if you can help them, if the up line can help them. Can they make some money? Can you help them be successful? Which brings us to our final item ...





Company Management experience: LEAST important to the prospect is that the president is a family man, and he's got four or five families to prove it. It does not matter to the prospect. So this whole process is way simpler than most people think: 1. Make sure they like you. 2. Make sure they believe they can do it. If you don't do those two, nothing else matter's, Think about all this for a second, you’re talking to a prospect. You start off with the company management experience, which is the least important thing to them. Now your prospect is leaning back, eyes are glazed over; zoned-out, nodding off. They've heard it all before, and they just don't care. But what if you start with the most important thing first- YOU! Tell them a story about your experience in the business (or your up line’s experience, if you're new). Tell them how you work with people, and exactly what you'll do to help them be successful. THAT is what prospects want.
